Welcome to the DIZZYDUCK website "https://dizzyduck.com/" (the "DIZZYDUCK website"), owned and operated by DIZZYDUCK LAB LLP ("DizzyDuck", "We", "Us" and "Our") identified by ACM-6888 under Companies Act, 2013 and having its registered office at 3RD FLOOR, 442, OLD PID 68-6-442, 8TH MAIN ROAD, BLOCK 4 KORAMANGALA, Koramangala, Bangalore, Karnataka, India, 560034 and its affiliates.

Except as otherwise noted herein, these terms and conditions (the "Terms") govern your ("User") use of the DIZZYDUCK Website and DIZZYDUCK's services, applications, content, and products (collectively, the "Site"). The terms of DIZZYDUCK's Privacy Policy, Return, Refund and Cancellation Policy, Shipping Policy, are incorporated by reference into these Terms.

These Terms constitute a legal agreement ("Agreement") between you and DIZZYDUCK (on its and its affiliates behalf) in relation to the Services/Goods as defined below. If you do not agree to the Terms and Conditions, you must immediately discontinue any use of its services.

You acknowledge that you shall be bound by this Agreement for providing any of the Services/Goods offered by us. If you do not agree with any part of the Agreement, please do not use the Site or avail any Services/Goods sold.

The Agreement is published in compliance of, and is governed by the provisions of Indian law, including but not limited to:

  • The Indian Contract Act, 1872;
  • The (Indian) Information Technology Act, 2000; and
  • Any other amendments, modifications, relevant and applicable laws in force at the time.

The Users of the Site expressly understand, acknowledge, and agree to the following set forth herein below:

1. General

You hereby certify that you are (i) over the age of eighteen (18) or have the legal ability to consent to the purchase through the Site or have your Parent/Guardian consent to Services, and (ii) sound mind (iii) not legally disqualified by applicable laws of India to enter into this agreement (v) freely consenting to this agreement. These Terms constitute the entire Agreement between DIZZYDUCK and the User regarding the Service, and supersede and replace any prior agreements the User and DIZZYDUCK might have regarding the Service. DIZZYDUCK may revise these Terms from time to time and the same will be intimated to You. An opportunity to accept the modifications constituting binding agreement. Shall be provided henceforth.

2. Registration

The User may access areas of the Site that require registration by logging-in and becoming a registered member on the Site. The User agrees to be responsible for maintaining the confidentiality of the passwords or other account identifiers which the User may choose and all activities that occur under User's account.

By registering on the Site, User agrees that:

  • User's account and password are personal to the User and may not be used by anyone else to access the Site.
  • User will not do anything which would assist anyone who is not a registered User to gain access to any area of the Site requiring registration; and
  • User will not pass off as and/or impersonate another User.
  • User agrees to notify Us immediately in case of any unauthorised use of the User's password or account identifiers by others.

3. Products Purchase

  • DIZZYDUCK offers for sale several ranges of products including but not limited to sportswear, yoga pants, track pants, sports bra and other allied products ("Product(s)") and such information displayed on the Site constitute an "invitation to offer". Placing an order on the Site shall constitute an "offer" which shall be subject to the terms and conditions as detailed in these Terms and other Site documents i.e. the Privacy Policy and Refund, Return and Shipping Policy. DIZZYDUCK may accept or reject User's offer in its sole discretion which cannot be contested by the User.

  • Once the request is placed it is an express intention to purchase the product and the same may not be cancelled except as per the process stated on the Site. Based on the information provided by the User and subject to DIZZYDUCK's prima facie verification of the same, the requests will be accepted by the DIZZYDUCK for processing and the same will be confirmed via Site/e-mail.

  • The images of the products shown on the Site are for visual representation only and the color/size of the actual product may vary from its visual representation on the Site.

  • DIZZYDUCK does not warrant that product description or other content on the Site is accurate, complete, reliable, current, or error-free and assumes no liability in this regard.

  • DIZZYDUCK shall not be responsible if some purchase request is not registered or is lost due to any network problems such as breakdown of machinery, unclear/ disruption in the network or non-receipt of payment from banks/payment gateways and/or the cost(s) charged by the network operator(s). Any dispute in connection to the same shall be settled between the end customer and the network operator without involving DIZZYDUCK.

  • The purchases of products from this Site by You, does not transfer/enure any of the intellectual property rights or other proprietary rights related to the products, their design or concepts to you.

4. Term

These Terms and Conditions shall remain valid and binding upon the User as long as User continues to access and use the Site. We reserve the right to suspend or terminate the User's access to the Website at Our sole and absolute discretion, without Prior notice or cause. Notwithstanding any provision within these Terms, they shall survive indefinitely unless and until we decide to terminate them.

5. Communication and Un-subscription

By using the Site, you also accept to receive news, updates, offers/ campaign related SMS, to the mobile phone number and email address provided by you. By accessing and using the Site and/ or verifying your contact number/email address with us; by accepting these Terms; by accepting or receiving and not unsubscribing expressly on the consent availed by us from you via SMS, Emails, Voice calls, IVR (Interactive Voice Response) or any other modes and methods of communication you explicitly consent to receive such communications (through call, SMS, email or other digital and electronic means) from us and/or our authorized representatives regarding any new services or offerings, even if your contact number is registered under the DND/NCPR list under the Telecom Commercial Communications Customer Preference Regulations, 2018.

You can unsubscribe/ opt-out from receiving marketing/ promotional communications, newsletters and other notifications from us at any time by following the instructions set out in such communications.

6. Site Contents

No material from the Site may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way, except as specifically permitted on the Site. You also may not, without DIZZYDUCK's written permission, "mirror" any material contained on this Site or any other server. The Site, including all of its information and content, such as text, data, wallpaper, icons, characters, artwork, images, photographs, graphics, music, sound, messages, software and the HTML used to generate the pages (collectively, "Materials and Content"), is DIZZYDUCK property or that of our suppliers or licensors and is protected by patent, trademark and/or copyright under Indian Laws and/or foreign laws.

7. Product and Pricing Information

Pricing and Availability:

  • The pricing shown to you through use of DIZZYDUCK's website and DIZZYDUCK's mobile app may only be good for purchases made online and may differ from in-store pricing.
  • Although DIZZYDUCK has made every effort to display our products and their colors, textures, and appearance as accurately as possible, the displayed attributes of the products depend upon the device display settings of the user, and DIZZYDUCK cannot guarantee that the user's device will accurately portray the actual attributes of the products.

Shipping and Fees:

  • All prices for our products are listed in Indian Rupees and inclusive of GST.
  • We offer free shipping on all prepaid orders above Rs. 1,799.
  • For prepaid orders below Rs. 1,799, a shipping fee of Rs. 50 applies.
  • Cash on Delivery (COD) is available at a flat fee of Rs. 150.
  • DIZZYDUCK reserves the right to modify product pricing at any time without prior notice.

Payment Methods:

  • DizzyDuck accepts online payments via Credit Card, Debit Card, Net Banking, and Unified Payments Interface ("UPI").
  • The User shall be solely responsible for all charges incurred for products purchased through the Site.
  • The User agrees, understands, confirms, and warrants that the payment details provided for transactions on the Site are accurate, complete, and belong to the User.

8. Testimonials

We present real-world experiences, testimonials, and insights about other people's experiences for purposes of illustration only. The testimonials, examples, and photos used are of actual clients and results they personally achieved. Each client has approved these testimonials, examples, and photos for use in materials to speak use of our Product and/or Services, but they are not intended to represent or guarantee that current or future clients will achieve the same or similar results.

9. Product Description

The Site provides Product description that is as accurate as possible. However, the Site does not warrant that Product description or other content of this site is 100% accurate, complete, or error-free. The customization application is a mere representation of the Product being purchased; the final Product or Service may differ slightly from that of the image and /or description being designed.

10. Intellectual Property Rights

Unless otherwise indicated or anything contained to the contrary or any proprietary material owned by a third party and so expressly mentioned, DIZZYDUCK owns all Intellectual Property Rights to and into the Website, including, without limitation, any and all rights, title and interest in and to copyright, related rights, patents, utility models, trademarks, trade names, service marks, designs, know-how, trade secrets and inventions (whether patentable or not), goodwill, source code, meta tags, databases, text, content, graphics, icons, and hyperlinks.

11. Trademarks and Copyrights

The Site contains copyrighted material, trademarks and other proprietary information, including, but not limited to, text, software, photos, video, graphics, music, sound, and the entire contents of DIZZYDUCK protected by copyright as a collective work under the applicable copyright laws. DIZZYDUCK owns a copyright in the selection, coordination, arrangement and enhancement of such content, as well as in the content original to it.

12. Disclaimer of Endorsement for Links to Other Sites

At certain places on this site, links to other web sites can be accessed. Such external sites contain information created, published, maintained, or otherwise posted by institutions or organizations independent of DIZZYDUCK. DIZZYDUCK does not endorse, approve, certify, or control these external sites and does not guarantee the accuracy, completeness, efficacy, or timeliness of information located at such sites.

13. Prohibited Uses

The Site may be used only for lawful purposes and is available only for your personal, non-commercial use which shall be limited to viewing the Site, purchasing products, providing information to the Site and downloading product information for your personal review. DIZZYDUCK specifically prohibits any use of the Site for:

  • Posting any information which is incomplete, false, inaccurate or not your own
  • Engaging in conduct that would constitute a criminal offense, giving rise to civil liability or otherwise violate any law or regulation
  • Communicating, transmitting, or posting material that is copyrighted or otherwise owned by a third party without permission
  • Attempting to interfere in any way with the Site's or DIZZYDUCK's networks or network security

14. No Liability

The content and other information on this Site including any information with respect to the products 'offered for sale' thereon, is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, DIZZYDUCK excludes all representations and warranties relating to this Site and its content and excludes all liability for damages arising out of or in connection with the disclosure of the information and/or User's use of this Site.

15. Indemnity

You agree to defend, indemnify and hold DIZZYDUCK, its directors, officers, employees, agents and affiliates harmless from any and all claims, liabilities, damages, costs and expenses, including reasonable attorneys' fees, in any way arising from, related to or in connection with your use of the Site, your violation of the Terms or the posting or transmission of any materials on or through the Site by you.

16. Time and Claim Limits

To the fullest extent permitted by applicable law, YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO ANY DISPUTE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, THAT CAUSE OF ACTION IS PERMANENTLY BARRED.

17. Severability

Each section, paragraph, part, term, and/or provision of these Terms shall be considered severable; and if, for any reason, any provision herein is determined to be invalid and contrary to, or in conflict with, any existing or future law or regulation by a court or agency having valid jurisdiction, such provision shall not impair the operation, or have any other effect upon, other provisions of these Terms.

18. Governing Law and Jurisdiction

These Terms shall be governed by, construed and enforced in accordance with the laws of India, without giving effect to any conflict of law provisions, except to the extent governed by Indian Laws and the courts of Bengaluru have exclusive jurisdiction.

19. Grievance

Any grievances you have by way of use of the website can be addressed to the 'Customer Care' by way of email to support@dizzyduck.com. The 'Customer Care' shall thereafter consider the same and provide a response at the earliest to such complaint/ grievance.

20. Notices

Any/all notices, statements or other communication relating to any disputes, grievances experienced by the User shall be given or made in writing in the English language and delivered by electronic mail or sent by prepaid post with recorded delivery addressed as mentioned on the Site.
